1. Introduction

Welcome to Chhajed.ai ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, services, and products (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our Services.

Chhajed.ai provides artificial intelligence solutions, machine learning services, software development, and related technology consulting services to businesses and organizations worldwide.

2. Definitions

• "Client" refers to any individual or entity that engages our Services.
• "Services" means all AI solutions, software development, consulting, and related services provided by Chhajed.ai.
• "Deliverables" refers to any work product, code, models, documentation, or materials created as part of our Services.
• "Confidential Information" means any non-public information disclosed by either party.
• "Agreement" refers to any contract or statement of work executed between Chhajed.ai and the Client.

3. User Responsibilities

By using our Services, you agree to:

• Provide accurate, current, and complete information when requested.
• Maintain the security and confidentiality of your account credentials.
• Use our Services only for lawful purposes and in accordance with these Terms.
• Comply with all applicable laws, regulations, and industry standards.
• Provide timely feedback, approvals, and required materials for project completion.
• Respect intellectual property rights of Chhajed.ai and third parties.

4. Prohibited Activities

You agree not to:

• Use our Services for any illegal or unauthorized purpose.
• Attempt to gain unauthorized access to our systems, networks, or data.
• Reverse engineer, decompile, or disassemble any part of our Services.
• Transmit viruses, malware, or any malicious code.
• Interfere with or disrupt the integrity or performance of our Services.
• Use automated systems to access our Services without express permission.
• Violate any applicable laws or regulations.
• Infringe upon intellectual property rights of Chhajed.ai or third parties.

5. Intellectual Property Rights

5.1 Ownership of Deliverables

Unless otherwise specified in a written Agreement, upon full payment, the Client will own the custom Deliverables specifically created for them. Chhajed.ai retains ownership of all pre-existing intellectual property, tools, frameworks, libraries, and methodologies used in creating the Deliverables.

5.2 License to Use

Chhajed.ai grants Clients a non-exclusive, non-transferable license to use our proprietary tools, frameworks, and pre-existing materials included in the Deliverables solely for the Client's internal business purposes.

5.3 Website Content

All content on our website, including text, graphics, logos, images, and software, is the property of Chhajed.ai and is protected by international copyright, trademark, and other intellectual property laws.

6. Payment Terms

6.1 Fees and Invoicing

All fees for Services will be specified in the applicable Agreement or statement of work. Invoices are payable within the timeframe specified in the Agreement, typically within 30 days of invoice date unless otherwise agreed.

6.2 Late Payments

Late payments may be subject to interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. Chhajed.ai reserves the right to suspend Services for accounts with overdue payments.

6.3 Expenses

Unless otherwise agreed, Clients are responsible for reimbursing reasonable expenses incurred in connection with providing Services, including third-party software licenses, cloud infrastructure costs, and travel expenses when applicable.

7. Service Delivery and Acceptance

Services will be delivered according to the timeline specified in the applicable Agreement. Clients will have a reasonable period (typically 14 days unless otherwise specified) to review and accept Deliverables. Acceptance will be deemed to have occurred if no written objections are received within the acceptance period.

8. Warranties and Disclaimers

8.1 Limited Warranty

We warrant that Services will be performed in a professional and workmanlike manner consistent with industry standards. For a period of 90 days following delivery, we will correct any material defects in Deliverables at no additional charge.

8.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN SECTION 8.1, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CHHAJED.AI, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT TO CHHAJED.AI IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10. Confidentiality

Both parties agree to maintain the confidentiality of Confidential Information disclosed during the course of the engagement. Neither party will disclose Confidential Information to third parties without the prior written consent of the disclosing party, except as required by law or to fulfill obligations under the Agreement.

This confidentiality obligation will survive termination of the Agreement for a period of three (3) years.

11. Termination

11.1 Termination for Convenience

Either party may terminate an Agreement upon 30 days' written notice. Upon termination, the Client will pay for all Services performed up to the termination date.

11.2 Termination for Cause

Either party may terminate immediately if the other party materially breaches these Terms and fails to cure such breach within 15 days of written notice.

12. Indemnification

You agree to indemnify, defend, and hold harmless Chhajed.ai and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our Services or violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Chhajed.ai operates, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms will be resolved through good-faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration in accordance with the rules of the applicable arbitration authority.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with any applicable Agreements, constitute the entire agreement between you and Chhajed.ai regarding the use of our Services and supersede all prior agreements and understandings.
